1. Introduction & Acceptance

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User," "Customer") and Hotely, Inc. ("Hotely," "we," "our," "us"), a Delaware corporation. By using the Hotely website, mobile app, or related services ("Platform"), you agree to be bound by these Terms.

2. Scope of Services

  • Hotely provides access to hotel reservations offered by third-party suppliers and hotels ("Suppliers").
  • Hotely is not the accommodation provider and does not own, operate, or control hotels.
  • Information about rooms, amenities, and policies is provided by Suppliers. While we strive for accuracy, Hotely does not guarantee that information is error-free.

3. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use our services.

4. Booking & Payments

  • A booking is confirmed when payment is authorized and a confirmation email is issued.
  • Rates are subject to change until the booking is confirmed.
  • Prices may vary due to exchange rates.
  • Payments are processed securely via authorized providers (e.g., Stripe).

5. Taxes & Fees

  • Displayed rates may or may not include applicable taxes, fees, or surcharges.
  • Local taxes (e.g., occupancy tax, city tax, VAT, GST) may be collected directly by the hotel.
  • Resort fees, service charges, or mandatory surcharges may also apply and are payable to the hotel.
  • Hotely is not responsible for differences between estimated and final charges if additional local taxes/fees are collected by the hotel.

6. Cancellations, Changes & Refunds

  • Each booking is subject to the hotel's cancellation and refund policy.
  • Some bookings are strictly non-refundable.
  • Refunds, if applicable, depend on Supplier policies and may take reasonable timeframes.
  • Hotely may charge a service fee for cancellations or modifications.

7. Supplier Responsibilities

  • Hotels are solely responsible for delivering accommodation services.
  • Hotely is not responsible for overbookings, service quality, or guest experience.

8. User Responsibilities

  • Provide accurate personal and payment details.
  • Comply with hotel rules (check-in requirements, occupancy limits, etc.).
  • You are responsible for charges incurred at the property (resort fees, minibar, late checkout, damages).

9. Fraud, Errors & Misuse

  • Hotely may cancel bookings suspected of fraud or misuse.
  • Obvious errors in price or availability may be corrected by Hotely, even after confirmation.

10. Intellectual Property

All content, design, trademarks, and technology on the Platform belong to Hotely or its licensors. Unauthorized use is prohibited.

11. Privacy & Data Use

  • Personal data is collected and processed in accordance with our Privacy Policy.
  • Booking details are shared with Suppliers to complete reservations.

12. Limitation of Liability

  • Hotely is not liable for failures or errors by Suppliers.
  • Not liable for force majeure events (natural disasters, pandemics, strikes, government restrictions).
  • Not liable for indirect damages such as lost profits, missed flights, or loss of enjoyment.
  • Maximum liability is limited to the amount you paid for the booking.

13. Indemnification

You agree to indemnify Hotely against claims, damages, and costs arising from your misuse of the Platform, violation of Terms, or disputes with Suppliers.

14. Governing Law & Dispute Resolution

  • Govered by the laws of Delaware, USA.
  • Disputes resolved by binding arbitration under AAA rules.
  • Class action participation is waived.

15. Modifications to Terms

Hotely may update these Terms at any time. Updated versions are effective once posted on the Platform.

16. Miscellaneous

  • Severability: Invalid provisions do not affect the remainder.
  • Entire Agreement: These Terms supersede prior agreements.
  • Assignment: Hotely may assign its rights without notice.
